Step 1: Acquire a Digital Signature Certificate

The initial step in the incorporation process of an LLP is to obtain a Digital Signature Certificate for the proposed designated partners of the LLP. This certificate is necessary as all the required documents and forms for LLP incorporation submission online.  So, Digital signatures are essential for signing those documents.”

Step 2: Apply for Director Identification Number (DIN) and Designated Partner Identification Number (DPIN)

All designated partners of the proposed LLP need to have a DIN (Director Identification Number) or DPIN (Designated Partner Identification Number). The application for DIN/DPIN can be made online through the Ministry of Corporate Affairs (MCA) website.

Step 3: Name Reservation

Once the DIN/DPIN is obtained, the next step is to reserve a name for the proposed LLP. The name can checked for availability on the MCA website, and up to six names can be suggest in order of preference. Once a name is approve, it is reserve for 20 days.

Step 4: Drafting of LLP Agreement

An LLP Agreement is a document that outlines the mutual rights, duties, and obligations of the partners as well as the LLP. It can draft and sign by all the designated partners of the proposed LLP.

Step 5: Filing of Incorporation Form

Once the name approve and the LLP Agreement is sign, the next step is to file the incorporation form with the Registrar of Companies (ROC) along with the necessary documents.  Such as the LLP Agreement, address proof, identity proof, and PAN card of the partners, among others.

Step 6: Payment of Fees and Stamp Duty

Once the incorporation form file, the prescribed fee and stamp duty must pay online through the MCA portal.

Step 7: Certificate of Incorporation

If the ROC satisfy with the application, the LLP will incorporate, and a Certificate of Incorporation will  issue. This certificate marks the creation of the LLP.  Finally,  it contains the LLPIN (Limited Liability Partnership Identification Number) which is unique to every LLP.

Once the LLP incorporate, it can begin its operations and carry out its business activities.
